These Terms of Service ("Terms") govern your use of the Flores Innovations website and your engagement with our services. By accessing our website or entering into a service agreement with Flores Innovations, you agree to be bound by these Terms. Please read them carefully.

References to "Flores Innovations," "we," "us," or "our" refer to the company and its team. References to "you" or "client" refer to the person or entity requesting services or using our website.

Acceptance of Terms

By submitting a quote request, contacting us, or entering into a service agreement, you confirm that you have read, understood, and agree to these Terms. If you do not agree, please do not use our website or engage our services.

These Terms apply to all visitors to our website and all clients who engage Flores Innovations for any service, including grain bin installation, millwright work, custom fabrication, emergency repair, or material handling.

Our Services

Flores Innovations provides the following professional services:

• Grain bin installation, repair, and replacement
• Aeration, conditioning, and grain drying systems
• Millwright services including equipment installation, alignment, and maintenance
• 24/7 emergency millwright and breakdown response
• Custom steel fabrication and structural welding
• Material handling system installation and service
• Conveyor, elevator, and auger systems
• Custom trailers and equipment modifications

All services are subject to a formal agreement, estimate, or work order between Flores Innovations and the client. Work will not begin until terms have been agreed upon and any required deposit has been received.

Quotes & Estimates

All quotes and estimates provided by Flores Innovations are based on information available at the time of assessment. Quotes are valid for 30 days from the date of issue unless otherwise stated.

Estimates may be subject to change if:

• Site conditions differ materially from what was described or observed
• Additional work is discovered or requested during the project
• Material costs change significantly between quote and project start
• Access to the site is delayed or restricted beyond our control

Any changes to the scope of work will be communicated to the client before additional costs are incurred. We will not perform out-of-scope work without client approval.

Project Scope

The scope of each project will be defined in a written estimate or work order agreed upon by both parties. Work performed outside of the agreed scope may be billed at our standard rates.

Flores Innovations reserves the right to decline any project or service request at our discretion. We also reserve the right to stop work if site conditions are deemed unsafe, if payment obligations are not met, or if the client is in breach of the agreed terms.

Payment Terms

Payment terms will be outlined in each individual estimate or invoice. Unless otherwise agreed in writing:

• A deposit may be required before work begins, particularly for large-scale installations or material orders
• Final payment is due upon project completion unless a payment schedule has been arranged
• Invoices not paid within 30 days of the due date may be subject to a late fee
• Flores Innovations reserves the right to suspend or discontinue work on any project with outstanding unpaid balances

Accepted payment methods will be communicated at the time of invoicing. Disputes regarding invoices must be raised within 10 business days of receipt.

Client Responsibilities

To ensure projects are completed safely, efficiently, and on schedule, clients agree to:

• Provide accurate information about the project site, existing equipment, and any known hazards
• Ensure safe and timely access to the work site for our crew and equipment
• Obtain any necessary permits, easements, or property owner approvals prior to work beginning
• Ensure utilities (electrical, water, etc.) are properly marked or disclosed
• Have an authorized representative available to answer questions during the project
• Notify us of any changes to project conditions or requirements as soon as they arise

Flores Innovations is not responsible for delays or additional costs caused by the client's failure to fulfill these responsibilities.

Warranties

Flores Innovations stands behind the quality of our work. We provide a workmanship warranty on labor performed, the specific terms of which will be outlined in your project agreement.

Equipment, materials, and manufactured components (such as grain bins, motors, conveyors, etc.) are subject to the manufacturer's warranty and are not covered under our workmanship warranty.

Warranties are voided if:

• The installation or equipment is modified by a third party without our written consent
• The client fails to perform recommended maintenance
• Damage is caused by misuse, overloading, or conditions outside the designed operating parameters
• Payment obligations for the project have not been fulfilled

Limitation of Liability

To the fullest extent permitted by applicable law, Flores Innovations shall not be liable for:

• Indirect, incidental, or consequential damages arising from our services or any delay in service
• Loss of crops, revenue, or production resulting from equipment failure, installation delays, or service interruptions
• Damage to underground utilities, structures, or property not disclosed to us prior to work beginning
• Acts of God, weather events, or other conditions beyond our reasonable control

Our total liability for any claim arising from a specific project shall not exceed the total amount paid by the client for that project.

Intellectual Property

All content on the Flores Innovations website — including text, graphics, logos, images, and design — is the property of Flores Innovations and is protected by applicable intellectual property laws.

You may not copy, reproduce, distribute, or use any content from our website for commercial purposes without our prior written consent. Unauthorized use of our logo or brand materials is strictly prohibited.

Website Use

Our website is provided for informational purposes. You agree to use it only for lawful purposes and in a manner that does not infringe the rights of others.

You agree not to:

• Attempt to gain unauthorized access to any part of our website or systems
• Use automated tools to scrape, crawl, or extract data from our website

Termination

If a client terminates a project after work has begun, they remain responsible for all costs incurred up to the point of termination, including materials ordered, labor performed, and any restocking or cancellation fees from suppliers.

Flores Innovations reserves the right to terminate any engagement immediately if the client engages in unsafe, abusive, or unlawful behavior toward our crew or personnel.

Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Arkansas, without regard to its conflict of law provisions.

Any disputes arising from these Terms or from services provided by Flores Innovations shall first be attempted to be resolved through good-faith negotiation. If a resolution cannot be reached, disputes shall be subject to the jurisdiction of the courts located in Arkansas.

Changes to These Terms

We reserve the right to update these Terms of Service at any time. Changes will be posted on this page with a revised "Last updated" date. We encourage you to review these Terms periodically.
